Welcome to Xapplets. These Terms of Service (“Terms”) constitute a binding legal agreement between you and Zeeyes AI Inc. (“we,” “us,” or “our”), a Delaware corporation operating the Xapplets platform. By downloading, purchasing, or using our Services, you agree to be bound by these Terms

Service Architecture and Definitions

To ensure clarity on how our platform operates, we define our architecture as follows,

The Platform: The core Xapplets SaaS environment, including the Orchestration Engine, Authentication Layer, and AI Agents. This is a proprietary cloud-based service
Xapps (Integrations): Proprietary connectors developed by us that facilitate data exchange with external host platforms (e.g., the Xapplets Connector for Zoho CRM or Xapplets for Shopify). While the connector code is ours, the host platforms (Zoho, Google, Shopify) remain third-party services
Modules: Functional components such as CRM, Finance, and E-commerce logic
GPL Products: Specific downloadable components, such as certain WordPress plugins or open-source adapters, which are distributed under the GNU General Public License (GPL).

Proprietary Products: The Cloud Orchestration Engine, AI Agents, APIs, and workflow Automation are strictly proprietary and not subject to the GPL.

License and Usage Rights

License: We grant you a non-exclusive, non-transferable, revocable license to access and use the Proprietary Products for your internal business purposes, subject to your subscription tier
Single vs. Multi-Instance: Licenses are restricted to a single domain or installation unless a multi-site license is specifically purchased
Evaluation License: We grant a 15-day evaluation license for selected products. If you do not upgrade to a paid license after the trial ends, your access will be suspended, and you must delete any locally installed components

Restrictions: You agree not to,

Reverse engineer, decompile, or disassemble the Proprietary SaaS platform or API.
Rent, lease, sublicense, or distribute the proprietary software to third parties.
Bypass any license verification or security measures.
Remove any copyright, trademark, or proprietary notices.

Support and Maintenance

We are committed to reliability. Support is provided based on your subscription tier.

Trial / Free: Best-effort support through email.
Paid Subscriptions: Priority support with a first response target within 8 – 24 business hours.
Enterprise: Support Service Level Agreements (SLAs) as defined in your specific Enterprise Contract.
Scope: We resolve issues directly related to our products. We do not debug third-party conflicts or server environments outside our control.
Updates: Annual subscriptions include 1 year of support and upgrades. Renewals are charged at standard rates (typically 20% of the current product price) unless otherwise specified.

Intellectual Property

Ownership: Zeeyes AI Inc. retains all title and ownership rights to the Xapplets platform, AI models, and Proprietary Products.
Trademark Usage: You may not use Xapplets’ logos or graphics without prior written permission.

Confidentiality

You agree to take reasonable steps to maintain the confidentiality of our Proprietary Software and non-public technical information. You must ensure that your employees and contractors do not disclose or use the software for unauthorized purposes.

Warranty Disclaimer Provided "As Is"

To the maximum extent permitted by law, Xapplets makes no warranties, express or implied, regarding the software. While we design for high reliability, Xapplets does not guarantee error-free or uninterrupted service

Limitation of Liability

To the maximum extent permitted by law, Zeeyes AI Inc. is not liable for indirect or consequential losses (including lost data, revenue, or business interruption). Our total liability is limited to the amount you paid for your license in the 12 months preceding the claim.

Audit Rights

For enterprise compliance, we reserve the right to audit your usage of the software to ensure it matches your purchased license level. This audit is strictly limited to license verification and does not grant us access to your proprietary customer data or business records. We will provide at least 7 days’ written notice before any such audit.

Termination

By You: You may terminate this agreement at any time by ceasing use of the Services and notifying us.
By Us: We may terminate this agreement immediately if you breach these Terms.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts located in Wilmington, Delaware.

Privacy and Data Handling Reference

Use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

Refund and Cancellation Reference

Refunds and cancellations are handled in accordance with our Refund Policy.
